These Terms of Service ("Terms") govern your access to and use of Rhyme (the "Service"), provided by Ember Technologies, LLC, an entity associated with Yellowstone County ("Ember Technologies," "we," "us," or "our").
By creating an account, accessing, or using Rhyme, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
Rhyme is a speech-to-text writing canvas tool that allows you to:
Dictate speech and convert it to text.
Create, edit, and store documents.
Subscribe to paid plans and manage your account.
The Service is provided for personal and/or business use subject to these Terms.
2. Eligibility
You may use the Service only if:
You are at least 18 years old (or the age of legal majority in your jurisdiction); and
You have the legal capacity to enter into a binding contract; and
You are not prohibited from using the Service under applicable law.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts & Security
3.1 Account Registration
To use certain features, you may need to create an account and provide certain information (e.g., email, password, and payment details for subscriptions).
You agree to:
Provide accurate, current, and complete information.
Keep your login credentials secure.
Notify us promptly of any unauthorized access or use of your account.
You are responsible for all activity that occurs under your account.
3.2 Account Termination
You may stop using the Service at any time and may request deletion of your account and associated data as described in Section 7.
We may suspend or terminate your account if we reasonably believe that you have violated these Terms or are using the Service in a way that could harm us, other users, or third parties.
4. User Content
4.1 Ownership
"User Content" means any text, audio, transcripts, documents, or other material you submit, create, upload, or store through the Service.
You retain all ownership rights to your User Content.
We do not claim ownership of your User Content.
4.2 Limited License to Operate the Service
To operate and provide the Service, you grant Ember Technologies a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service to you (e.g., converting your audio into text, saving your documents so you can access them, backing up for reliability).
We do not sell your User Content or personal data.
4.3 Responsibility for Your Content
You are solely responsible for:
The accuracy, legality, and appropriateness of your User Content.
Ensuring you have all rights and consents needed to use the Service with your User Content.
We do not monitor all User Content, but we reserve the right (not the obligation) to remove User Content that we reasonably believe violates these Terms or applicable law.
5. Prohibited Use
You agree not to use the Service to:
Violate any applicable law or regulation.
Infringe or violate the rights of others, including intellectual property, privacy, or publicity rights.
Upload, create, or share User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, hateful, or otherwise objectionable.
Transmit viruses, malware, or other malicious code.
Reverse engineer, decompile, or attempt to derive the source code of the Service (except where permitted by law).
Bypass, interfere with, or disable any security or access controls.
Use any automated means (including robots, crawlers, or scrapers) to access the Service without our prior written consent.
Use the Service for high-risk purposes where failure could lead to death, personal injury, or significant physical or environmental damage.
We may take appropriate action, including suspension or termination of access, if we reasonably believe you have engaged in any prohibited use.
6. Subscriptions, Payments & Refunds
6.1 Subscriptions
Certain features of the Service may be available only through paid subscriptions.
By starting a subscription, you authorize us (or our payment processor) to charge your payment method on a recurring basis (e.g., monthly or annually) as disclosed at the time of purchase.
Subscription pricing, features, and billing intervals will be shown to you before you complete your purchase.
6.2 Billing & Taxes
You agree to:
Provide accurate and up-to-date billing information.
Pay all applicable fees and any taxes that may apply to your use of the Service.
If we are unable to process a payment, we may suspend or cancel your access to paid features until payment is successfully processed.
6.3 Cancellations
You may cancel your subscription at any time through your account settings or by following the instructions provided within the Service.
When you cancel, your subscription will typically remain active until the end of your current billing period, unless otherwise stated.
After cancellation, certain features may no longer be available, but you may continue to access your account and any remaining free features (if any).
6.4 Refunds
Unless required by law or explicitly stated otherwise:
All fees are non-refundable and non-transferable.
If you believe you are entitled to a refund due to an error or issue with the Service, please contact us at hello@rhyme.ink and we will review your request on a case-by-case basis.
7. Data Handling & Privacy
This section summarizes how we handle data within the Service. It is not a full privacy policy.
7.1 Data Storage
We aim to minimize the amount of data we store while still providing a functional writing and storage tool.
We store your documents and related content only as necessary to provide you with the Service (e.g., so you can access your saved documents).
We do not sell your personal data or User Content.
We do not use your User Content to sell to third parties or for unrelated advertising purposes.
If you prefer, you may delete your documents or your account at any time, as described below.
7.2 Speech-to-Text Processing
To convert your speech to text, the Service may process audio data through our own systems and/or through third-party providers acting on our behalf.
Audio and text may be temporarily processed and stored to perform transcription and provide the Service.
We do not sell your audio or transcripts.
7.3 Data Deletion & Retention
You may:
Delete individual documents from within the Service.
Request deletion of your account and associated data by contacting us at hello@rhyme.ink or using any self-service tools we provide.
After you delete content or your account, we will take reasonable steps to delete or anonymize your personal data and User Content, except where we are required or permitted by law to retain certain information (e.g., for tax, billing, or legal recordkeeping).
7.4 Security
We use reasonable technical and organizational measures to protect your information. However, no system can be guaranteed to be 100% secure.
You are responsible for maintaining the security of your account credentials.
8. Intellectual Property
8.1 Our Rights
The Service, including all software, interfaces, designs, trademarks, logos, and other content (excluding User Content), is owned by Ember Technologies or its licensors and is protected by intellectual property laws.
Subject to your compliance with these Terms, Ember Technologies grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract any source code, except to the extent you are permitted by law.
8.2 Feedback
If you choose to provide feedback, suggestions, or ideas ("Feedback") about the Service, you agree that Ember Technologies may use the Feedback in any way without obligation to you, and you hereby grant us a perpetual, irrevocable, worldwide, royalty-free license to do so.
9. Third-Party Services
The Service may integrate with or link to third-party services or content that are not owned or controlled by Ember Technologies.
We are not responsible for third-party services or content.
Your use of third-party services is subject to their own terms and privacy policies.
10. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law:
We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that speech-to-text results will be accurate, complete, or reliable.
You understand that:
Transcriptions may contain errors or omissions.
The Service is not intended for use in situations where inaccurate or delayed information could cause harm (e.g., medical, legal, or financial decisions).
11. Limitation of Liability
To the maximum extent permitted by law:
Ember Technologies, its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of (or inability to use) the Service.
In no event will our total liability for all claims relating to the Service exceed the greater of:
The amounts you paid to us for the Service during the 3 months preceding the claim; or
$50 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, the above limitations may not apply to you to the extent prohibited by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Ember Technologies, its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Service;
Your User Content;
Your violation of these Terms; or
Your violation of any rights of a third party.
13. Changes to the Service
We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice, provided that we will use reasonable efforts not to materially and adversely affect active paid subscriptions without appropriate accommodations.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or through the Service) and indicate the date of the latest revision at the top of this page.
By continuing to use the Service after the changes take effect, you agree to be bound by the updated Terms. If you do not agree, you must stop using the Service and may cancel your subscription.
15. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law rules.
You agree that the state and federal courts located in Yellowstone County, Montana, USA shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.
16. Miscellaneous
Entire Agreement. These Terms constitute the entire agreement between you and Ember Technologies regarding the Service and supersede any prior agreements or understandings.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce them later.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
